1. Definition:

In these Terms and Conditions the following definitions shall apply.

  • Exhibition shall mean ‘Trade Show” co-located at Delhi International Renewable Energy Conference, 2010 (DIREC).
  • “Exhibitor” shall mean the organization described as such in the Application Form and include all employees and agents of such organization to whom space has been allotted in the Exhibition and shall also include permitted sub-licensees of the Exhibitor.
  • Organisers mean Ministry of New and Renewable Energy (MNRE), Government of India (GOI) and PCO mean the Professional Conference Organiser contracted by the MNRE for the management of the DIREC and Trade Show.
  • “Contract” shall mean the contract established between the Exhibitor and the Professional Conference Organiser (PCO) on behalf of the MNRE, upon Exhibitor’s acceptance of the offer made by PCO to participate, upon these Terms and Conditions in the Exhibition.
  • “Exhibition Centre” shall mean – India Expo Centre & Mart - the venue named in the Application Form.
  • “Exhibition Space” shall mean any space in the Exhibition Centre licensed to the Exhibitor by the PCO for the purpose of the Exhibition and shall include shell (ready stand) spaces and raw spaces, as the case may be.
  • “Exhibitor Manual” shall mean the manual supplied by the PCO to the Exhibitor which contains information relating to the Exhibition and the Exhibition Space.
  • “Fee” shall mean the amount payable for the use of the Exhibition Space.
  • “Exhibition Centre Operator” shall mean the owner/ proprietor/ operator/ Managed by of the Exhibition Centre.

2. Management; Principal Purpose

The word “PCO” as used herein shall mean Ms Exhibitions India Pvt. Ltd., the Professional Conference Organiser contracted by the Ministry of New and Renewable Energy, Government of India for the management of the Delhi International Renewable Energy Conference, 2010 (DIREC) and all officers, members, committees, agents or employees acting for them in the management of the conference/ exposition. The principal purpose of the conference/ exposition is to stimulate interest in and demand for renewable energy (herein “principal purpose”). No exhibitors shall engage in any activity inconsistent with this principal purpose.

3. Observance of Rules & Regulations

Exhibitors are required to observe and comply with all the laws of Republic of India. An Exhibitor, for itself and its employees, also agrees to abide by and comply with all of the rules and regulations of the Exhibition Centre.

4. Imported Exhibits / Foreign Principals

As per directives of India Trade Promotion Organisation, the nodal agency attached to Ministry of Commerce, Govt. of India, which approves all International Exhibitions, duty-free import facility (Under ATA Carnet or Re-Export Bond supported by the Banks Guarantee) is available to only foreign exhibitors who have paid participation charges in Foreign exchange at the rates applicable to Foreign Exhibitors. Indian Exhibitors interested in displaying exhibits imported from foreign principals, must ensure that each of their foreign principals register as an Exhibitor, on payment of raw space charges @ USD300 per sq mt. (minimum 27 sq mts.) and with shell scheme package @ USD 330 per sq mt. (minimum nine sq mts.) At the request of Indian exhibitors and foreign principals, an integrated stall with their combined space could be provided.

5. Promotional materials censorship

All promotional materials ( including presentation materials and samples), such as printed matters, films, video-cassettes, slides to be show to the visitors during the exhibition must be pre-censored by the Indian authorities. Exhibitors may appoint the Official Forwarding/ Clearing Agent or contact PCO for assistance to arrange the same on their behalf.

6. Application for Participation

All applications for participation shall be made on the prescribed Application Form. The PCO reserves the right to accept or refuse any application without giving any reason thereof. If the PCO accepts an application which is not on the prescribed Application Form, then such acceptance shall nevertheless be upon and subject to these Terms and Conditions and the Exhibitor shall, if required by the PCO, in addition complete and submit an Application Form.

7. Approval for Design of Stand

The Exhibitor shall be required to submit the stand design drawing complete with details of exhibits, height of display, electricity and other requirements, in triplicate, for approval. Detailed specifications of bare space stand design will be available in the exhibitor manual which will be sent on confirmation of space.

8. C & F Agent

The PCO shall appoint an official agent for handling, clearing and forwarding exhibits. The Exhibitors are required to contact the agent directly for utilising their services. No other handling agent will be allowed to operate inside the venue.

9. Licensing and Application of Exhibition Space

Exhibition space is licensed to the Exhibitor only. The PCO reserves the right to change the venue for the Exhibition, to change the Exhibition Space allocated to the Exhibitor, to alter the size and dimensions of the Exhibition Space, to change or close entrances and exits and access to the Exhibition Space, and to undertake other structural alterations as they deem fit.

Such changes shall be at the discretion of the PCO and the Exhibitor shall have no claim for compensation as a result of any changes. Shell stands are all erected according to a standard pattern. No variation of the standard fascia and lettering will be permitted. Exhibits and displays should not exceed the height of the stand walls unless written permission has been received from the PCO. All the Shell space Exhibitors will be provided with stand services as per the schedule in the Exhibitor’s manual.

Plans, drawings and design proposals for raw space Exhibitors must be submitted and approved according to the rules and regulations of the Exhibition Centre. These plans, in triplicate, must be submitted to the PCO for approval one month before the start of the exhibition. No changes to the stand will be permitted once assigned by the PCO.

The PCO reserves the right at any time to order the alteration or removal of any stand which differs from the approved specifications or which does not conform to the rules and regulations of the Exhibition Centre.

The cost of such alteration and removal shall be entirely borne by the Exhibitor.

10. Sub-leasing or Sub-letting

Exhibitor shall not sub-lease or sub-let the space allocated to it, nor any part thereof, nor exhibit, offer for sale, give as a premium, or advertise articles not produced or sold in its own name, except where such articles are required for the proper demonstration or operation of exhibitor’s display, in which case such articles shall be limited to other exhibiting companies articles and their identification shall be limited to the regular nameplate, imprint, or other identification which in standard practice appears normally on them. If a non-exhibiting company’s article is displayed in a booth in violation of these provisions, immediate removal of the article will be required, at the exhibitor’s expense. Exhibitor may not permit in his booth non-exhibiting companies’ representatives. Rulings of the PCO shall, in all instances, be final with regard to use of any exhibit space.

11. Withdrawal from Participation or Default in Occupancy

If an exhibitor withdraws, for whatever reason, its participation in the Exhibition at any stage, the money paid by it towards participation fee shall be forfeited and the PCO shall have the right to claim for the balance amount of the exhibition fee and for any loss or damages suffered by the Organisers as a consequence thereof. The PCO shall be at liberty to allot the space booked by that Exhibitor to any other party without any compensation/ refund to that Exhibitor.

Similarly, any exhibitor failing to occupy space contracted for is not relieved of the obligation of paying the full rental of such space. If not occupied by the time set for completion of installation of displays, such space may be repossessed by PCO and reallocated or re-assigned for such purposes as PCO may see fit.

12. Additional Listings

In the event of an overseas company roping-in more than one local Indian organisation, an additional fees @ 5% will be levied for the same.

13. Exhibits

Unless otherwise agreed in writing, movements of exhibits in and out of the Exhibition Centre must be handled by the official contractors nominated for the Exhibition. No exhibit will be allowed into or out of the Exhibition Centre without an official delivery order or clearance document. The Exhibitor must make its own arrangements for transportation of exhibits to and from the Exhibition Centre and for storage of exhibits and packaging materials.

The Exhibitor must ensure that its displays/exhibits are properly spread and do not exceed the maximum load limitations for the Exhibition Centre. Stand assembling, installation and decoration must be carried out within the time limits specified by the PCO and must in any case be completed by 1600 hrs on the day preceding the Exhibition opening

All exhibits and stand furnishings must be confined to the area of the Exhibition Space. Any advertising literature should be distributed from the Exhibitor’s own stand(s) only. The PCO / Exhibition Centre Personnel reserve the right to remove at the Exhibitor’s expense any exhibits or publicity materials which they consider is hazardous, illegal, immoral, undesirable, inappropriate, harmful, offensive, obscene or otherwise objectionable to the PCO/ Exhibition Centre or is not conforming to the theme of the Exhibition.

All fire, electrical and safety laws and regulations of the Exhibition Centre must be strictly observed. Aisles, fire exits, fire protection systems and security systems must be kept clear and accessible at all times. No storage behind exhibits is provided or permitted. All aisles, including those within pavilions, must be a minimum of 3 meters. All materials used in the construction and decoration of Exhibition stands shall be flame retardant in accordance with local regulations and be subject to inspection by the Exhibition Centre Personnel or their appointed agent.

Electricity, whether from the mains, batteries or generators shall be supplied only by the Exhibition Centre. Connections into permanent distribution boxes may be made only by the Exhibition Centre or its Official Contractor. The official electrical contractor will be solely responsible for the installation of electrical cables and necessary switchgear between the mains supply and each individual exhibitor’s requirements. The PCO reserves the right to disconnect any installation, which in their opinion, is dangerous or likely to cause annoyance to visitors or other exhibitors. Please note that all power supply will be turned off 15 minutes after the show closes every evening.

Display of any working or moving exhibits must have the prior written approval of the PCO. Precautionary measures such as the provision of guards or other means of protection must be taken to protect the public from such moving or working exhibits. Moving or working exhibits shall only be demonstrated or operated by persons authorised by the Exhibitor and shall not be left running in the absence of such persons.

Authorization must be obtained prior to any telecasting, broadcasting, or use of radio transmitting equipment.

The erection and removal of stands, materials and exhibits must take place within the time limits specified by the Exhibition Centre. Repairs or alterations by removal or addition of materials may be carried out only when the premises are closed to the public and with the prior consent of the PCO.

At such time after the close of the Exhibition as the PCO may specify or on sooner termination of the contract, all exhibits shall be removed and cleared from the Exhibition Space and vacant possession of the Exhibition Space shall be delivered to the PCO in as good and clean order and condition as it was when initially licensed out. Any property remaining after the last day designated by the PCO for material to be removed may be sold or otherwise disposed of by the PCO at the Exhibitor’s expense. No exhibits may be removed from the Exhibition before the Exhibition ends, without the written consent of the PCO.

14. Eligible Exhibits

PCO has sole right to determine the eligibility of any company or product for inclusion in the exhibition. Exhibitor may not promote products or services that compete with the products or services of Organizers & PCO, including, but not limited to, conferences, seminars, and/or expositions relating to the renewable energy industry, without the prior written consent of PCO. Any exhibitor engaged in the business of conducting or offering conferences, seminars, expositions, publications and other services or products similar to those offered by PCO shall be required to submit all products and/or services it intends to promote at the exposition to management for approval by 120 days prior to the date on which the exposition is being held. Only those products and services approved in writing by PCO may be promoted at the exposition. Any exhibitor who fails to submit its products and/or services to PCO for approval in accordance with this section automatically forfeits its rental fee and is not authorized to participate as an exhibitor at the exposition.

15. Payment deadlines and cancellation policy

Payment:

  • Applications from exhibitors for allotment of space at the DIREC 2010 , should normally be accompanied with an advance payment of a minimum 30% of value of space booked
  • Request for space booking received after 30 th June 2010, should be accompanied with a minimum 50% advance payment
  • However, the request for space booking received after 31st August 2010, should be accompanied with a 100% advance payment

Refund for cancellation:

Should an exhibitor not be able to occupy and use the exhibit space contracted, the exhibitor shall promptly notify EIG, New Delhi, the PCO for DIREC 2010, in writing. The terms are as under:

  • Requests for potential refund of the full advance amount paid must be received at the Exhibitions India office before the close of working hours on 30 th June 2010. In such a situation, all payments made by the exhibitor, will be refunded in full
  • For cancellations received in the months of July & August 2010, ending 31st August, there will be a 50% service charge on the value of the space invoice raised and payment receipts in excess of this amount will be refunded
  • After 31st August 2010, no refund will be considered

Request for decrease in size of space booked, will be treated as 'cancellation' of the decreased space and be dealt with as per the above policy guidelines.


16. Booth Construction and approval of Design of Stand

The PCO subscribes to industry standards as defined by the international association of exposition Managed bys and provide all possible assistance in booth construction at the raw space contracted.

The Exhibitor shall be required to submit the stand design, drawing complete with details of exhibits, height of display, electricity and other requirements, in triplicate, for approval. Detailed specifications of bare space stand design will be available in the exhibitor manual which will be sent on confirmation of space.

17. Installation/Showing/Dismantling

Hours and dates for installation, exhibiting, and dismantling shall be those specified by PCO. Exhibitor shall be liable for all storage and handling charges resulting from failure to remove exhibit material from the exposition before conclusion of the dismantling period as specified by PCO.

18. Damage to Property

Exhibitor is liable for any and all damage caused to building floors, walls, or columns, or to standard booth equipment, or to other exhibitors’ property. Exhibitor may not apply paint, lacquer, adhesive or other coating to building columns and floors or to standard booth equipment.

19. Conduct in the Exhibition Centre

All stands must be manned by authorised representatives of the Exhibitor during the Exhibition hours who are actually working in exhibitor’s booth. Booth representatives shall wear “exhibitor” identification badges, furnished by PCO for the Exhibition, at all times. The Exhibitor shall be responsible for the good conduct of its employees, agents, contractors and sub-contractors who shall be bound by and must observe the Terms and Conditions of the Exhibition in all respects. The PCO may limit the number of booth representatives at any time as well as the total number of booth representatives during the conference/ exposition. All exhibitors’ company personnel other than those working in booth are to register as attendees at show.

Exhibitors must not permit anything, which causes a nuisance or in the opinion of the PCO does not conform to the general standards of the Exhibition or may amount to breach of these Terms and Conditions.

No Exhibitor may alter or in any way affect the structure or fixtures of the Exhibition Centre. Exhibitors will pay the cost of making good any damage caused to the Exhibition Centre or its fixtures by themselves and/ or their contractors or sub-contractors.

20. Decoration

The PCO shall have full discretion and authority in the placing, arrangement, and appearance of all items displayed by exhibitor, and may require the re-placing, re-arrangement, or re-decorating of any item or of any booth which management deems inconsistent with the principal purpose of the exposition or inappropriate for any reason, and no liability shall attach to PCO for costs that may devolve upon exhibitor thereby. Exhibitors building special background or side dividers must make certain that the surfaces of such dividers are finished in such a manner as not to be unsightly to exhibitors in adjoining booths. If such surfaces remain unfinished, PCO shall authorize the official decorator to affect the necessary finishing and exhibitor must pay all charges involved thereby.

21. Admittance during Non-show Hours

All exhibitors’ company personnel will be permitted to enter the exposition one (01) hour before the scheduled opening time each day of showing, and will not be permitted to remain in the exposition after the closing hour each evening, with the exception of the final evening. Exhibitors having special problems that require additional time must check at PCO’s office on the previous day for permission to remain after closing hour.

22. Liability

The Exhibitor agrees to indemnify and hold the PCO harmless, on demand against all claims, liabilities, losses, suits, damages, judgments, expenses, costs and charges of every kind arising out of the default or negligence of, or any damage caused by the Exhibitor or its employees, agents, contractors or sub-contractors.

If the Exhibition is cancelled or postponed due to an act of Force Majeure, the Exhibitor shall have no claim whatsoever for compensation for loss or damage suffered or additional expenses incurred as a result of any cancellation, postponement, alteration in character or reduction in scale of the Exhibition.

23. Failure to Hold Exposition

Should any contingency prevent holding of the exposition, PCO may retain such part of exhibitor’s rental as shall be required to recompense it for all expenses incurred up to the time such contingency shall have occurred.

24. Inflammable Materials

No inflammable substance, fluids or materials of any nature, including decorative materials, the use of which is prohibited by Central, State or city fire regulations, may be used in any booth. No such material shall be allowed to be stored / placed at the Exhibition Centre by PCO.

25. Lien on Exhibits

The PCO reserve the right to retain all or any of an exhibitors’ goods / exhibits as collateral till all the dues including charges for services, damages, or penalties, if any, are settled by the Exhibitor. Any costs for retention of the collateral will also have to be paid by the Exhibitor.

26. Noise and Odors

No noisy or obstructive work will be permitted during open hours of the exposition, nor will noisily operating displays, nor exhibits producing objectionable odors, be allowed. In the event of a dispute, it is the prerogative of PCO to make a determination if a given activity is unacceptable, and consequently, must be stopped.

27. Rejected Displays

Exhibitor agrees that its exhibit shall be admitted and shall remain from day to day solely on strict compliance with the rules herein laid down. The PCO reserves the right to reject, eject, or prohibit any exhibit in whole or in part, or exhibitor or his representatives, with or without giving any reasons. If reason is not given, liability shall not exceed the return to exhibitor of the amount of rental unearned at the time of ejection. If an exhibit or exhibitor is ejected for violation of these rules or for other stated reasons, no return shall be made.

28. Samples; Souvenirs

Samples, souvenirs, publications, etc., may be distributed by exhibitor only from within its booth. The distribution of any article that interferes with the activities in or obstructs access to neighboring booths, or that impedes aisles, is prohibited.

29. Signs; Sign Copy; Illumination

Electric flashers or signs involving the use of neon or similar gases are prohibited. Should the wording on any sign or area in exhibitor’s booth be deemed by PCO to be contrary in any way to the best interests of the exhibition, exhibitor shall make such changes as are requested by PCO. All signage must remain within the confines of the booth.

30. Exhibitor Discussions; Costumes; Promotion

Exhibitor’s representatives may conduct discussions, answer questions, explain their products or services, or engage in sales or order taking, but such activities shall not be conducted in any manner which is inconsistent with, or derogates from, the principal purpose of the exhibition. Exhibitor shall cease any activity determined to be inconsistent with the principal purpose of exhibition immediately upon notification by PCO to do so. Exhibitor shall not engage in any activities in the aisles or in booths other than its own. No signs shall be displayed nor shall public announcements be made concerning sales, prices or conditions of sale. Exhibitor’s representatives wearing distinctive costumes, or carrying banners or signs separately or as part of their apparel must remain in their own booths. Booth representatives may not wear clothing that PCO deems scanty or excessively revealing.

31. Sound Amplifying; Reproducing Equipment; Noise levels for Operating Equipment

The use of devices which produce sound must comply with the maximum permitted noise level stipulated by the Exhibition Centre Operator. The PCO shall be the sole arbiter of acceptability of sound levels and may require reduction of sound level or elimination of sound reproducing devices in those cases where in the judgment of exhibition management such sound is in violation of these standards or otherwise objectionable. Exhibitors operating equipment during the conference/exposition are requested to have the equipment comply with relevant Indian rules & regulations on the subject.

If despite repeated requests by the PCO to keep the volume of the equipment down is not adhered to by the Exhibitor, the PCO reserves the right to a) Switch off the power supply. b) Close the exhibit space.

32. Storage of Crates, Cartons, and Extra Materials

The open space between back-to-back booth spaces is for electrical feed lines and storage of exhibit materials is prohibited by the convention center and the local fire department because such use is considered to be hazardous. Accessible storage areas for literature can be arranged by contacting the exhibitor service center (located on the exhibition floor). No individual exhibitor will be allowed crate storage outside the confines of their booth. “Empty” stickers are available from the exhibitor service center to identify your empties, which will be removed to storage and returned at the conclusion of the show.

33. Agreement to Rules

Exhibitor, for itself and its employees, agrees to abide by the foregoing rules and by any amendments that may be put into effect by PCO. The PCO, at its discretion, reserves the right to (1) eject any exhibitor violating its rules or decisions from the exposition without any refund whatsoever of exhibitors rental fee; (2) restrict or limit the offending exhibitors participation at future PCO’s/Organizers’ expositions; or (3) take any other action PCO/Organizers, in its discretion, deems to be an appropriate response to the violation. Exhibitor agrees to be bound by PCO’s decision. Exhibitor agrees to indemnify and hold harmless PCO/Organisers from any and all damages, charges, loss and/or expense arising out of a failure by exhibitor to comply with these rules and any amendment thereto.

34. Intellectual property rights/ copyright

The Exhibitor warrants that the exhibits and packages thereof and the related publicity material do not in any way whatsoever violate or infringe any third party’s rights including trade marks, copy rights, designs, names and patents whether registered or otherwise, and agree to fully indemnify the Organisers and PCO against all costs, expenses and damages arising from any third party’s claim of infringement by an exhibitor and / or the organiser and its agents of such third party rights.

The PCO has the right to require exhibitor to remove exhibits which are suspected to be violating intellectual property rights or copyright. The PCO has the right to refuse participation of any exhibitor found guilty of infringement of intellectual property rights at any future trade fairs as well.

35. Compliance with Laws

Exhibitor shall comply with all applicable Central, State and local laws, codes and regulations, and shall be solely responsible for obtaining all permits and paying all taxes associated with exhibitor’s use of the booth and exhibitors activities during the conference and exposition.

36. License to use Exhibitor Logo

The Exhibitor (a) warrants that it owns and/or is solely entitled to use the Exhibitor Logo in India and the relevant jurisdiction of the venue; and (b) indemnifies PCO in respect of any action that may be brought against PCO or the Organisers arising out of or in connection with use of the Exhibitor Logo. “Exhibitor Logo” means the logo supplied by the Exhibitor to PCO pursuant to this Agreement and in connection with the Conference and Exhibition.

37. Assumption of Risk; Releases

Exhibitor expressly assumes all risks associated with, resulting from or arising in connection with Exhibitor’s participation or presence at the Event, including, without limitation, all risks of theft, loss, harm, damage or injury to the person (including death), property, business or profits of Exhibitor, whether caused by negligence, intentional act, accident, act of God or otherwise. Exhibitor has sole responsibility for its property or any theft, damage or other loss to such property (whether or not stored in any courtesy storage area), including any subrogation claims by its insurer. Neither Organizers nor the PCO accepts responsibility, nor is a bailment created, for property delivered by or to Exhibitor. Neither the Organizers nor the PCO, shall be liable for, and Exhibitor hereby releases all of them from, and covenants not to sue any of them with respect to, any and all risks, losses, damages and liabilities described in this paragraph.

38. Indemnification

Under no circumstances shall Organizers or the PCO shall be liable for any lost profits or any incidental, special, indirect, punitive or consequential damages whatsoever for any of their acts or omissions whether or not apprised of the possibility of any such lost profits or damages.

Exhibitor shall on a current basis indemnify, defend and hold Organizers and the PCO harmless from any and all claims, demands, suits, liabilities, damages, losses, costs, reasonable attorney’s fees and expenses which result from or arise out of or in connection with: (a) Exhibitor’s participation or presence at the Event, (b) any breach by Exhibitor of any of the agreements, covenants, promises or other obligations under this contract: (c) any matter for which Exhibitor is otherwise responsible under the terms of this contract; (d) any violation or infringement (or claim of violation or infringement) of any law or ordinance or the rights of any party under any patent, copyright, trademark, trade secret or other proprietary right; (e) any libel, slander, defamation or similar claims resulting from the actions of Exhibitor; (f) harm or injury (including death) to Exhibitor; and (g) loss of or damage to property or the business or profits of Exhibitor, whether caused by negligence, intentional act, accident, act of God, theft, mysterious disappearance or otherwise.

39. Limitation of Liability

In no case shall Organizer/PCO’s maximum liability under any circumstance exceed the amount actually paid to the PCO by Exhibitor for exhibit space rental pursuant to this contract. The Organizers/ PCO makes no representations or warranties, express or implied, regarding the number of persons who will attend the Event or regarding any other matters.

40. Copyrighted Materials

Exhibitors shall not play or permit the playing or performance of, or distribution of any copyrighted material at the Conference & Exhibition unless it has obtained all necessary rights and paid all required royalties, fees or other payments.

41. Insurance

The Organiser/ PCO is responsible for general security of the entire venue but will not undertake any financial of legal responsibility of any type of risk concerning of affecting exhibitors, their personal belongings and exhibits. Exhibitor is therefore responsible for effecting all necessary insurance which should include ) but not limited to) their displays, exhibits, stand fittings and fixtures, and other third parties against loss or damage by theft, fire, public ( including occupiers’ liability) and other natural causes.

The Exhibitors are advised to procure appropriate insurance policy covering theft, public liability, damage to property and effects, personal injury, consequential loss and such other risks. The Organiser or the PCO cannot be held responsible for any loss or damage to property, personal injury and third party.

Exhibitor assumes entire responsibility and hereby agrees to protect, indemnify, defend, save and hold harmless the PCO, its employees and agents, Ministry of New and Renewable Energy, Government of India and its employees and agents, and the India Expo Center & Mart against all claims, losses and damages to persons or property, governmental charges or fines and attorney fees arising out of or caused by exhibitor’s installation, removal, maintenance, occupancy or use of the exhibition premises or part thereof, excluding any such liability caused by the sole negligence or concurrent comparative negligence of the PCO and its employees and agents, and agents, India Expo Center & Mart, its members, employees and agents as well as the Ministry of New and Renewable Energy, Government of India and its employees.

In addition, exhibitor acknowledges that the India Expo Center & Mart, PCO, and the MNRE, GOI do not maintain insurance covering exhibitors’ property or potential liabilities and that it is the sole responsibility of the exhibitor to obtain business interruption insurance, property damage insurance and liability insurance covering such losses by exhibitor. Exhibitor shall obtain and keep in force during the term of the installation and use of the exhibit premises, policies of comprehensive general liability insurance and contractual liability insurance and specifically referring to contractual liability set forth in the foregoing paragraphs hereof, for an adequate amount for personal injury and property damage. The India Expo Centre & Mart, PCO, and the MNRE, GOI shall be included in such policies as additionally named insureds for this Conference and Exhibition only.

42. Termination and Alternation

This Contract may be terminated by the PCO by notice to the Exhibitor upon the occurrence of any of the following events:-

  1. The Exhibition Centre and/or the Exhibition Space become unfit for occupancy and use.
  2. The holding of the Exhibition or the performance of the Contract by the PCO is substantially or materially interfered with due to cause or causes not within the control of the Organisers/ PCO.
  3. The PCO are not satisfied that proper use is being made of the Exhibition Space during the installation period or at any time during the term of the Exhibition.
  4. The Exhibitor is, for any reason, unable to utilize the Exhibition Space allocated to it.
  5. The Exhibitor is in breach of any of these Terms and Conditions or any applicable local legislation, rules or regulations.

Upon termination of this Contract for whatever reason, all of the Exhibitor’s property should be removed by the Exhibitor from the Exhibition Space immediately failing which such property shall be removed and the Exhibition Space cleared by the PCO at the Exhibitor’s expense. The PCO reserve the right to exercise a general lien over any property of the Exhibitor in the Exhibition Centre in respect of all monies, of whatsoever nature, including in respect of claims for damages, which may at any time be due or payable by the Exhibitor to the PCO in connection with the Exhibition.

43. Governing Law and Jurisdiction

Exhibitor shall abide by and observe all Indian Central, State and local laws, codes, ordinances, rules and regulations, and all rules and regulations of the PCO (including any union labour work rules) and be responsible for obtaining all consents, approvals, authorities, licenses and the like as may be requisite to its participation in the Exhibition.

The Contract and its Terms & Conditions shall be interpreted in accordance with the laws of the Union of India and the Exhibitor agrees to submit to the Courts of Delhi/ State of Uttar Pradesh. Exhibitor further agrees that the courts located in the above States shall constitute the exclusive forum for the resolution of any and all disputes arising out of, connected with or related to this contract or the breach of any provisions of this contract.

44. Amendment to Rules & Supplementary Rules & Regulations

Any matters not specifically covered by the preceding rules shall be subject solely to the decision of PCO. The Organisers/PCO may amend these rules at any time. All rules and regulations detailed in the Exhibitor Manual ( to be issued to each exhibitors) as well as any further rules framed by the Organisers/ PCO from time to time and circulated to all exhibitors and uploaded at the DIREC website shall be deemed to be part of these Terms of Contract and shall be binding on all Exhibitors.

45. Governing Language

The contract shall be written in English. All correspondence and other documents pertaining to the contract, which are exchanged by the parties, shall be written in same language.

We have read the Rules & Regulations and agree to abide by the same and any additional rules deemed necessary by the PCO that may be communicated subsequently.
